Headline: Changes to company law proposed

Cabinet has agreed to update company law in New Zealand. These changes are expected to take place in two phases.

Key aspects of the first phase of changes include:

  • Modernising, simplifying and digitising the Companies Act to reduce compliance costs for companies and the Registrar.
  • Creating identification numbers for directors and general partners. This will make it easier to associate individuals with companies or limited partnerships and link those individuals’ corporate activities.
  • Allowing company directors and shareholders to record an address for service on the Companies Register, rather than their residential address. This will help address privacy and safety concerns.

The Law Commission will carry out work on the second phase of changes. This work will include a review of:

  • directors’ duties,
  • directors’ liability,
  • offences and penalties, and
  • more effective enforcement.

Notice of intention to remove 1 company from the Companies Register.

I intend to remove the following company from the register under section 318(1)(bc) of the Companies Act 1993 . I have reasonable grounds to believe that the company, or one or more of its directors or shareholders, has intentionally provided the Registrar with inaccurate information.

Unless, under section 321 of the Companies Act 1993, written objection to removal of the above company is delivered to the Registrar by 20 August 2024, being not less than 20 working days from the date of this notice, the Registrar is required to remove the companies from the register.

In the notice titled “Notice of Intention to Correct Register” published in the New Zealand Gazette, 9 February 2024, Notice No. 2024-ot469, the Registrar of Companies advised of his intention to remove the Update of Shares and Particulars of Shares dated 5 February 2024 on the New Zealand Register of Companies, in relation to THE PHO HOUSE LIMITED (8030884). The effect being that the total number of shares is 1,000 shares, held by Bill Nguyen.

The correct total number of shares is 100.

Notice of intention to remove 7 companies from the Companies Register.

I intend to remove the following companies from the register under section 318(1)(f) of the Companies Act 1993 , on the grounds that the companies have failed to pay the fee prescribed by regulations for the application for registration of the company under section 12 of the Act.

If the prescribed fee is not paid to the Registrar of Companies within 20 working days after the date of this notice, then the companies will be removed from the New Zealand register.

There are no grounds for objection under section 321 of the Companies Act 1993.

  • Sections 274(2) and 373(3)of Companies Act 1993 on one charge for Failing to Deliver Property to the Official Assignee.

  • Section 436 (1) (b) of Insolvency Act 2006 on one charge for Managing a Business without Consent of the Official Assignee.

  • Section 440 of Insolvency Act 2006 on one charge for Failing to Answer Questions of the Official Assignee.

Convicted on 5 October 2023 for offences against the Companies Act 1993 and Insolvency Act 2006. Sentenced on 18 January 2024 to 100 hours Community Service.

Our phone line and website support services will close on Friday 22 December at 5pm and reopen on Wednesday 3 January at 8.30am. If you email us during the holidays, we’ll respond to your queries when we reopen in the New Year.

During the holiday period, you can search the Companies Register 24 hours a day, 7 days a week, and file annual returns. Most other company maintenance services will also be available. The exceptions include the following services, which will resume when we reopen in the New Year:

  • Approving name reservations
  • Accepting director or shareholder consents
  • Processing requests to confirm company authority using a letter of authorisation
  • ASIC data exchange, and
  • Processing paper forms filed manually.

Convicted on 14 July 2022 and sentenced on 8 June 2023  to 18 months intensive supervision with conditions (in conjunction with charges from other government agencies).
